Welcome to GatedLead. These Terms and Conditions ("Terms") govern your access to and use of the GatedLead services ("Service"). By using our Service, you agree to be bound by these Terms.

1. Company Information

GatedLead is operated by redbean, a company registered in Denmark with registration number DK45000508.

1.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kolding, Denmark.

2. Services Provided

GatedLead offers two service plans:

  • Personal Plan: Single user and one worskspace.
  • Business Plan: Enhanced features, including team members, branding customization, and unlimited workspaces.

3. User Accounts

3.1 Eligibility

You must be at least 18 years old to create an account and use GatedLead. By using our Service, you confirm that you meet this age requirement.

3.2 Account Termination

  • By User: You can request to delete your account by contacting our support team at support@gatedlead.com.
  • By GatedLead: We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in any prohibited activities.

4. Payments and Subscriptions

GatedLead's Pro version is available on a recurring monthly or yearly subscription, processed securely through Paddle. By subscribing, you authorize Paddle to charge your payment method automatically at the start of each billing cycle.

You may request a refund within 14 days of your initial purchase. No refunds are available after this period, except where required by law. For refund requests, please contact support@gatedlead.com.

If a payment fails, your access to the Pro version may be suspended until payment is completed. Continued payment issues may result in your account being downgraded or terminated.

You can cancel your subscription at any time. After cancellation, you'll retain access to the Pro version until the end of your current billing cycle, with no refunds for unused time.

5. User Obligations

5.1 Permitted Use

GatedLead is designed to help users create and manage gated content for lead generation purposes. By using our Service, you agree to use GatedLead in a manner consistent with its intended purpose. Specifically:

  • Lead Generation: You may use GatedLead to upload, gate, and distribute digital content (such as PDFs) intended to generate leads for your business or personal projects.
  • Content Creation: You are permitted to create and customize gated content forms, integrate with third-party services, and manage lead data, provided that all activities are lawful and align with the purpose of lead generation.
  • Non-Commercial Use: While commercial use is allowed, it must be directly related to generating leads for your business or clients. Reselling or redistributing the Service itself, or creating a similar competing service using GatedLead, is strictly prohibited.
  • Compliance with Laws: All activities on GatedLead must comply with applicable local, national, and international laws and regulations. This includes but is not limited to data protection laws, intellectual property rights, and content distribution laws.

5.2 Prohibited Activities

Users are prohibited from engaging in activities that are not aligned with the intended use of GatedLead. Specifically:

  • Inappropriate Content: Uploading, distributing, or sharing content that is obscene, defamatory, harassing, hateful, threatening, or otherwise inappropriate is strictly prohibited.
  • Illegal Activities: Any activity that violates local, national, or international law, including but not limited to uploading or distributing illegal content, is prohibited.
  • Malware and Spam: Uploading content that contains viruses, malware, or any other harmful code, or using GatedLead to distribute unsolicited or unauthorized advertising, junk mail, spam, or chain letters, is forbidden.
  • Excessive Use: Engaging in activities that excessively use network capacity, bandwidth, or storage space, or that interfere with the operation of GatedLead, is prohibited.

Failure to adhere to these guidelines may result in suspension or termination of your account and legal action where applicable.

6. Intellectual Property

6.1 User Content

Users retain ownership of all content uploaded to GatedLead. By uploading content, you grant GatedLead a non-exclusive, royalty-free, sublicensable, and transferable license to use, display, and distribute your content within the Service.

6.2 GatedLead Content

All intellectual property rights in the GatedLead software and Service remain the property of GatedLead ApS.

7. Data Privacy and Security

GatedLead is committed to protecting your privacy. Please review our Privacy Policy to understand how we collect, use, and safeguard your information.

8. Limitation of Liability

8.1 No Warranty

GatedLead provides the Service on an "as is" and "as available" basis. We make no warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

8.2 Exclusion of Damages

To the maximum extent permitted by applicable law, GatedLead shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Service, whether such damages are based in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

8.3 Limitation of Liability

In the event that GatedLead is found liable for any damages arising out of or in connection with these Terms or your use of the Service, our total liability to you, for any and all claims, shall not exceed the amount you have paid to GatedLead for the Service in the twelve (12) months immediately preceding the event that gave rise to the claim.

8.4 Applicability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, GatedLead's liability will be limited to the fullest extent permitted by applicable law.

8.5 Indemnification

You agree to indemnify, defend, and hold harmless GatedLead, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

9. Modifications to the Terms

GatedLead may modify these Terms from time to time. We will notify users of any changes via our website. Continued use of the Service after such modifications constitutes your acceptance of the new Terms.
